Terms and Conditions

1. Services Provided

Neox Private Limited offers professional services including but not limited to:

  • IT consultancy

  • Software development

  • Project and IT process management

  • System analysis and design

  • Programming and testing

  • Quality assurance

  • IT outsourcing and telecommunication support

  • Research & development in computer sciences


2. Client Responsibilities

Clients agree to:

  • Provide accurate and complete information related to project requirements

  • Respond to queries and feedback in a timely manner

  • Make payments as per the agreed terms

  • Adhere to project timelines and communication standards

  • Avoid requesting work that violates intellectual property or any laws


3. Payment Terms

  • All services are subject to fees as detailed in the proposal or agreement.

  • Payments must be made according to the agreed schedule (e.g., upfront, milestone-based, or upon delivery).

  • Late payments may incur additional charges or suspension of services.

  • All prices are exclusive of applicable taxes unless stated otherwise.


4. Intellectual Property

  • All original software, documentation, and deliverables created by Neox Private Limited remain our intellectual property until full payment is received.

  • Upon final payment, clients receive full rights to use and modify the deliverables as specified in the contract.

  • Pre-existing tools or third-party components used in development may remain under their original licenses.


5. Confidentiality

Both parties agree to keep confidential information—including business strategies, trade secrets, or sensitive data—private and not disclose it to third parties without written consent.

6. Service Delivery

  • Delivery of services will be done digitally via secure platforms, email, or other mutually agreed methods.

  • Timelines and milestones will be communicated in the project proposal.

  • Neox is not liable for delays caused by client inaction or third-party disruptions.


7. Revisions and Changes

  • Minor revisions are included as part of the service package (unless otherwise stated).

  • Major changes outside the original scope may be subject to additional charges and timeline adjustments.


8. Refund Policy

Please refer to our Refund Policy for full details. Refunds are only issued under specific, pre-agreed circumstances. Work already completed, delivered, or in progress is generally non-refundable.

9. Limitation of Liability

Neox Private Limited is not liable for:

  • Losses caused by misuse of our deliverables

  • Downtime, bugs, or system failures due to third-party software

  • Delays caused by force majeure events (e.g., natural disasters, war, internet outages)


Total liability is limited to the amount paid by the client for the relevant service.

10. Termination of Services

Either party may terminate a service agreement with written notice if:

  • The other party breaches terms and fails to resolve the issue within a reasonable time

  • The client fails to make agreed payments

  • Mutual agreement is reached


Upon termination, the client is responsible for all completed work and fees due up to the termination date.

11. Governing Law

These Terms shall be governed by and interpreted in accordance with the laws of Pakistan. Any disputes will be handled through arbitration or the courts located in Islamabad.
